Terms of Service

Welcome to TINGHAO ("Company," "we," "us," or "our"). By accessing or using any product or service available at tinghao.app, including our browser extensions and web tools (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our Services.
1. Definitions
- "User," "you," or "your" refers to any individual or entity accessing or using the Services.
- "Content" means any data, text, files, or other materials uploaded, submitted, or transmitted through the Services.
- "Subscription" means a paid annual plan granting access to the Services.
2. Eligibility
You must be at least 16 years old and capable of forming a binding contract under applicable law. By using the Services, you represent and warrant that you meet these requirements.
3. Account Registration
You may be required to create an account to access certain features. You agree to provide accurate, current, and complete information and to keep it updated. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately of any unauthorized use.
4. Services
We provide browser extensions and web-based SaaS tools on a subscription basis. We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.
5. Payment, Subscriptions, and Refunds
5.1 Merchant of Record
All payments are processed through Creem.io, which acts as the Merchant of Record. By purchasing a Subscription, you also agree to Creem.io's terms and policies.
5.2 Free Trial
We may offer a 14-day free trial for new users. You will receive an email reminder at least 3 days before the trial ends. If you do not cancel before the trial period expires, your Subscription will automatically convert to a paid annual plan and you will be charged.
5.3 Annual Subscription and Auto-Renewal
Subscriptions are billed annually and automatically renew at the end of each billing cycle unless cancelled before the renewal date. By subscribing, you authorize recurring charges on your chosen payment method.
5.4 Cancellation
You may cancel your Subscription at any time through your account settings or by contacting us at support@tinghao.app. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period you have already paid for.
5.5 No Refunds
All payments are non-refundable once charged. No partial or prorated refunds will be issued for unused portions of a Subscription period.
5.6 Price Changes
We may change Subscription pricing at any time. We will provide at least 30 days' prior notice via email before any price increase takes effect. Continued use of the Services after the new pricing takes effect constitutes acceptance of the updated pricing.
6. User Conduct
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable law or regulation.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services.
- Interfere with, disrupt, or impose an unreasonable burden on the Services or their infrastructure.
- Attempt to gain unauthorized access to any part of the Services, other accounts, or any systems or networks connected to the Services.
- Use the Services to distribute malware, spam, or any harmful or malicious content.
- Resell, sublicense, or redistribute access to the Services without our prior written consent.
- Scrape, crawl, or use automated means to access the Services except as expressly permitted.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
- Use the Services in any manner that could damage, disable, or impair the Services.
We reserve the right to investigate and take appropriate action, including suspension or termination of your account, for any violation of these Terms.
7. Intellectual Property
7.1 Our IP
All rights, title, and interest in and to the Services, including all software, designs, text, graphics, trademarks, logos, and other intellectual property, are and remain the exclusive property of TINGHAO. Nothing in these Terms grants you any right, title, or interest in the Services except for the limited right to use them in accordance with these Terms.
7.2 Your Content
You retain ownership of any Content you submit through the Services. By submitting Content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, and store such Content solely to the extent necessary to provide and improve the Services.
7.3 Feedback
Any feedback, suggestions, or ideas you provide regarding the Services may be used by us without any obligation or compensation to you.
8. Account Termination
8.1 Termination by You
You may terminate your account at any time by contacting us at support@tinghao.app or through your account settings.
8.2 Termination by Us
We reserve the right to suspend or terminate your account and access to the Services at our sole discretion, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Services ceases immediately.
8.3 Effect of Termination
Upon termination, we may delete your account data. We are not obligated to retain or provide any of your Content after termination. Sections that by their nature should survive termination (including but not limited to IP ownership, disclaimers, limitations of liability, indemnification, and dispute resolution) will survive.
9. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TINGHAO, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE LESSER OF (A) ONE HUNDRED US DOLLARS (USD $100) OR (B) THE TOTAL AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless TINGHAO and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
12. Dispute Resolution and Arbitration
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region ("Hong Kong"), without regard to its conflict of law principles.
12.2 Mandatory Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved exclusively by binding arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) in accordance with its then-current rules. The seat of arbitration shall be Hong Kong. The arbitration shall be conducted in English by a single arbitrator.
12.3 Class Action Waiver
YOU AND TINGHAO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS OR REPRESENTATIVE PROCEEDING.
12.4 Exception
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction in Hong Kong to protect its intellectual property rights.
13. Privacy
Your use of the Services is also governed by our Privacy Policy, available at tinghao.app. By using the Services, you consent to the collection and use of your information as described in the Privacy Policy.
14. Third-Party Services
The Services may contain links to or integrations with third-party websites or services. We are not responsible for the content, policies, or practices of any third-party services. Your use of third-party services is at your own risk.
15. Export Compliance
You agree to comply with all applicable export and re-export control laws and regulations, including but not limited to those of Hong Kong and any other relevant jurisdictions.
16. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
17. Waiver
The failure of TINGHAO to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by TINGHAO.
18. Entire Agreement
These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and TINGHAO regarding the Services and supersede all prior agreements, understandings, and communications.
19. Assignment
You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms without restriction.
20. Force Majeure
TINGHAO shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, strikes, government actions, or failures of the internet or telecommunications infrastructure.
21. Changes to These Terms
We reserve the right to update or modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after any such changes constitutes your acceptance of the revised Terms.
